Disclaimer: This document constitutes a binding legal agreement. Please read it carefully. By using MedRecruit's services you agree to these terms. Have legal counsel review this document to ensure compliance with all applicable laws.

1. Acceptance of Terms

Welcome to MedRecruit ("Company," "we," "our," or "us"). By accessing or using our website at https://medrecruit.pro/ (the "Site") and our AI recruiting platform, virtual agents, and related integrations (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you are entering into these Terms on behalf of a company, staffing agency, healthcare facility, or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree with these Terms, you may not use our Services.

2. Description of Services

MedRecruit provides an AI-powered orchestration platform designed to automate the Matching, Evaluation, and Decision (M.E.D.) hiring lifecycle. Our Services include, but are not limited to:

  • Deployment of customized AI virtual recruiters.
  • Integrations with Applicant Tracking Systems (ATS) and Vendor Management Systems (VMS).
  • Job board automation and omnichannel candidate communications (e.g., SMS, WhatsApp, Email, LinkedIn).
  • Data ingestion, resume parsing, and credential/compliance pre-screening.

3. Account Registration and Security

To access our platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your login credentials, API keys, and integration tokens.
  • Take full responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account or any other breach of security.

4. Client Responsibilities and Acceptable Use

As a user of our B2B Services, you are solely responsible for how you utilize our AI agents and the employment decisions resulting from their use. You agree to the following:

  • Compliance with Laws: You will use the Services in strict accordance with all applicable local, state, national, and international laws, including employment laws, anti-discrimination laws (e.g., EEOC guidelines), healthcare compliance standards (e.g., JCAHO), and data privacy regulations (e.g., GDPR, CCPA).
  • Final Hiring Decisions: While our AI assists with matching and evaluation, you acknowledge that MedRecruit is a software tool. You, the client, retain full responsibility for all final hiring, compliance, and credentialing decisions.
  • Prohibited Conduct: You may not:
    • Reverse engineer, decompile, or attempt to extract the source code or machine learning models of our Services.
    • Use the Services to send unsolicited spam or violate the terms of service of third-party platforms (e.g., LinkedIn, WhatsApp, job boards).
    • Input malicious code or knowingly introduce viruses into our platform or integrations.

5. Fees, Billing, and Cancellation

  • Pricing Models: MedRecruit operates on tiered pricing models, including "Pay on Placements" (fees trigger when candidates start or shifts are filled) and "Pay onboarding + pay-as-you-go" (flat onboarding plus usage-based automation credits), as agreed upon in your specific Order Form or Service Agreement.
  • Deposits: We may require an upfront deposit (e.g., a two-month deposit) to initiate the machine learning and playbook customization process for your virtual agents.
  • Cancellation: After the initial onboarding and deposit period, you may cancel your services at any time by providing written notice, subject to the terms of your specific Service Agreement. Unused usage credits are non-refundable unless otherwise stated.

6. Intellectual Property

  • Our IP: MedRecruit retains all right, title, and interest in and to the Site, Services, AI models, algorithms, workflows, and underlying technology. We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business operations during your subscription term.
  • Your Data: You retain all ownership rights to the data you connect to our platform (e.g., your VMS/ATS data, candidate lists, and company playbooks). You grant MedRecruit a secure, limited license to access, process, and use this data solely to provide and improve the Services for you.

7. Performance Guarantees and AI Disclaimer

  • Guaranteed Results: If you participate in our onboarding program and lock in targets, we guarantee performance or will iterate our AI playbooks until you achieve agreed-upon results, as specifically outlined in your individual Service Agreement.
  • AI Limitations: Artificial Intelligence and machine learning are rapidly evolving technologies. While we strive for high accuracy and JCAHO-grade compliance documentation, AI agents may occasionally misinterpret data or generate unpredictable responses ("hallucinations"). You agree to monitor AI interactions appropriately and maintain human Quality Assurance (QA) oversight where necessary.

8. Disclaimers of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN SECTION 7, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." MEDRECRUIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MEDRECRUIT OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO MEDRECRUIT IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11. Modifications to the Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Site or via email. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.
